Terms of Service.

Terms for the Tech Turn website, assessments, products, and paid service engagements.

Provider: TECHTURN INFORMATION TECHNOLOGY SOLUTIONS, trading as Tech Turn Technology, Philippines.

1. Agreement

These Terms govern the Tech Turn website, Free Snapshot, assessments, enquiries, quotations, workflow-automation services, and any product or service expressly incorporating them. By using the website or accepting an order, you agree to these Terms. A person acting for an organisation confirms authority to bind it.


2. Order of precedence

Paid work starts only under an accepted quotation, order, statement of work, subscription, or other electronic agreement. That document controls scope, deliverables, fees, service levels, acceptance, and special terms. A negotiated agreement prevails over conflicting website terms.


3. Website, snapshots, and assessments

Website material and preliminary reviews are informational. They are not a penetration test, formal audit, certification, legal opinion, or guarantee. Results depend on the accuracy and completeness of supplied information and the stated scope.


4. Customer responsibilities

  • Provide accurate requirements, timely decisions, authorised access, test data, and competent reviewers.
  • Maintain lawful authority over systems, accounts, integrations, records, and personal information supplied.
  • Review, test, approve, and monitor production workflows; maintain backups, rollback plans, and business-continuity arrangements.
  • Protect credentials and promptly report suspected misuse or compromise.
  • Comply with privacy, employment, consumer, intellectual-property, sector, and communications laws applicable to the customer's use.

5. Access and acceptable use

You must not use Tech Turn services to access systems without authority, evade security controls, distribute malware, unlawfully monitor people, send prohibited communications, infringe rights, or process data for an unlawful purpose. Tech Turn may suspend work that creates a material security, legal, or operational risk.


6. Delivery, approvals, and changes

Timelines depend on customer inputs, third-party systems, and stated assumptions. Customer approvals may be recorded electronically. Changes outside scope require written agreement and may affect fees and schedule.


7. Fees, taxes, and payment

Fees are stated in the accepted order and are exclusive of applicable taxes unless expressly stated. Invoices are due on the agreed schedule. Late or disputed amounts may result in paused work after reasonable notice. Payment-provider terms also apply to transactions processed by that provider.


8. Intellectual property

Each party retains pre-existing materials, tools, methods, software, trademarks, and know-how. After full payment, the customer receives the rights expressly stated in the order to customer-specific deliverables. Reusable frameworks, libraries, templates, product code, security controls, and general improvements remain Tech Turn property unless the order says otherwise.


9. Customer data and confidentiality

The customer retains its rights in customer data. Tech Turn may process it only to provide, secure, support, and improve the contracted service as permitted by the agreement and Privacy Policy. Each party must protect non-public information and use it only for the relationship, subject to lawful disclosure and standard exclusions for information already known, public, independently developed, or lawfully received.


10. Third-party services

Projects may depend on Microsoft, Google, Cloudflare, payment providers, telecommunications providers, APIs, and other third parties. Their availability, limits, pricing, and terms are outside Tech Turn's control. A third-party change may require a scope, design, or schedule change.


11. Security and incidents

Tech Turn applies reasonable technical and organisational safeguards appropriate to the service. Customers remain responsible for their environments, access decisions, endpoint and identity controls, backups, and response obligations unless an accepted order assigns a specific responsibility to Tech Turn.


12. Warranties

Tech Turn will perform paid services with reasonable care and skill. Except for express commitments in an accepted order and rights that cannot lawfully be excluded, services and website content are provided without implied warranties of uninterrupted operation, fitness for a particular purpose, or guaranteed commercial, security, or compliance outcomes.


13. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive, or consequential loss, or loss of profit, revenue, goodwill, data, or opportunity. Tech Turn's aggregate liability arising from a paid engagement is limited to fees paid for the affected service during the six months before the event, except where liability cannot lawfully be limited or the accepted order states a different cap.


14. Suspension and termination

Either party may terminate according to the accepted order. Tech Turn may suspend access for material non-payment, unlawful use, security risk, or material breach after notice where practicable. On termination, accrued payment, confidentiality, ownership, liability, dispute, and data-handling provisions survive as necessary.


15. Product-specific terms

Kleos Club, Snipe RMM, and future Tech Turn products may have product-specific privacy notices, terms, acceptable-use rules, subscriptions, and service descriptions. Those terms supplement these Terms and control for the product-specific subject matter.


16. Electronic communications

Orders, approvals, notices, and records may be created and accepted electronically. You consent to operational and contractual communications at the contact details supplied and must keep them current.


17. Governing law and disputes

These Terms are governed by Philippine law, without limiting mandatory rights that apply to a customer in another jurisdiction. The parties will first attempt good-faith resolution through written notice. Unless an accepted agreement provides otherwise, disputes are subject to the competent courts of the Philippines.


18. General

If a provision is unenforceable, the remainder continues. Failure to enforce a provision is not a waiver. Neither party may assign an accepted order without consent except as part of a lawful reorganisation or transfer of substantially all relevant business assets, provided obligations continue.


19. Contact and changes

Questions may be sent to contact@techturntech.com. Updated Terms will be posted with a revised effective date. Changes do not retroactively alter an accepted order unless required by law or agreed by the parties.
